The problem here is that Red Hat 5's init scripts mount /proc before remounting / read-write. If I recall correctly (I don't have convenient access to a RH5 system at the moment), you can fix this by editing /etc/rc.d/rc.sysinit and adding mount -f /proc right after mount -f /
