You probably have CONFIG_RTC enabled. Turn it off, and make sure you have the latest hwclock (in util-linux, ftp.win.tue.nl:/pub/linux/util, version 2.9k or better), which works even without /dev/rtc.
(I have the same system, and it does the same thing.)
