I get this one quite regularly with latest 2.1 kernels (2.1.114 now):

Aug 3 11:05:51 kernel: Warning: dev (03:0f) tty->count(0) !=#fd's(1) in do_tty_hangup
Aug 6 11:07:16 kernel: Warning: dev (03:1d) tty->count(0) !=#fd's(2) in do_tty_hangup
Aug 6 19:26:50 kernel: Warning: dev (03:07) tty->count(0) !=#fd's(1) in do_tty_hangup
Aug 7 11:03:51 kernel: Warning: dev (03:19) tty->count(0) !=#fd's(1) in do_tty_hangup

It looks like it's related too.
I could try a patch to catch it.
