Have you enabled the w95 bug workarounds, either as a kernel option or by using the mount time flags? If so, you should get a message like this in your syslog:
SMBFS: Win 95 bug fixes enabled
The "too many open files" is probably the result of a bogus error return for one of the smb messages. Smbfs has lots of workarounds for these, but it needs to know what kind of server you're using.
