With the help of alan's patch-2.1.10?.ac1.gz (now running 105ac) patches, I was finally able to move beyond 2.1.101.
I was also overjoyed to find a pci only NE2k driver, perhaps my SMP system would now be more stable! (as an aside, does anyone have and suggestions for a good non-ne2k card with thinnet support)
Unfortuantly, it appears that the ne2k-pci driver doesn't talk to the io-apic code, at least on my system.
When I load the driver, it talks to the pci bus and finds it's int is 12. However, on boot the io-apic remapping thingy put my card on 16 (or 17 I cant recall)... There doesn't appear to be a way to pass an irq setting (which makes sence on a pci driver). So the card wasn't getting interupts.
I didn't have the time to learn about the new int stuff, so I just hardcoded the correct int into the driver.. Seems to be working fine.
